Keith Yuan is an associate in Goodwin Procter’s Corporate Group. He concentrates his practice in corporate finance, real estate, capital markets and corporate M&A matters.

Mr. Yuan has worked regularly on China-focused securities offerings, real estate, corporate and commercial matters, and advised on the restructuring and the initial public offerings of the H shares or red chip shares of many PRC state owned enterprises and private companies. He has also been involved in various PRC-originated private equity and alternative public offering transactions, including PIPEs (private investment in public enterprises), RTO (reverse takeover offering) and SPACs (special purpose acquisition company). Mr. Yuan has extensive experience advising on restructuring, due diligence, compliance and disclosure matters and prospectus drafting.

WORK FOR CLIENTS

Mr. Yuan’s client work has been primarily focused on corporate finance and M&A projects including China Railway (A+H IPO), Bank of Beijing (HK IPO), Mingfa Property (HK IPO), China Hydroelectric Corporation (NASDAQ IPO), China Water and Drinks (SPAC), Wuhan Kingold (RTO), China Merchants Bank take over of Wing Lung Bank, Shenzhen Grandness Group (Singapore IPO), Chongqing Iron and Steel Company's acquisition project in Australia and more than 20 real property acquisition projects by Tesco’s real estate investment arm in China. His industry includes financial services, natural resources, renewable energy, real estate, retail and consumer goods.

BAR AND COURT ADMISSIONS

Mr. Yuan passed the National Judicial Exam in People’s Republic of China in 2004 and is admitted to practice PRC law in both China and Hong Kong. He is a Registered Foreign Lawyer in Hong Kong and a member of Hong Kong Securities Institute.


Mr. Yuan is fluent in written and spoken Mandarin and English.
