Areas of Practice

Kevin Sheridan leads Goodwin Procter’s Business Law Department in New York. He has a diverse transactional practice that currently emphasizes leveraged buy-outs and other investment and change-of-control transactions; the representation of sponsors of private equity, real estate opportunity, credit opportunity, hedge funds and other private investment management businesses in all aspects of their operations, and the representation of institutional seed investors in such businesses. Mr. Sheridan’s work also includes private placements and public offerings of securities and the representation of sponsors, equity and debt participants in the origination and restructuring of structured finance transactions.

Work for Clients

Mr. Sheridan’s recent transactional work includes the formation and restructuring of investment management businesses that sponsor hedge, private equity, credit, real estate opportunity, infrastructure, energy, agri-business and farmland and emerging market funds, as well as the formation of such funds. In addition, his engagements have included the formation of multi-sponsor investment platforms, fund management team spin-outs and seed investment programs. Many of these transactions have significant cross border components, either due to the location of target investments or the tax jurisdiction of investors. Recent buy-out transactions have included buy (and investor)-side and sell-side engagements relating to the financial services, media, telecommunications, pharmaceutical, alternative energy and wholesale foods sectors.

Professional Activities

Mr. Sheridan is a member of the American Bar Association and the Association of the Bar of the City of New York. He also serves as a trustee of the Convent of the Sacred Heart School of New York, and as a member of the board of directors of the Children’s Heart Fund of Mt. Sinai Hospital.

Professional Experience

Prior to joining Goodwin Procter, Mr. Sheridan was a partner and head of the New York corporate and finance practice group at the law firm of Dickstein Shapiro Morin & Oshinsky. In 1994, he co-founded the corporate boutique Roberts, Sheridan & Kotel, which became the New York practice of Dickstein Shapiro’s Corporate & Finance Group in 2001. From 1989 to 1994, he worked as an associate with Cravath, Swaine & Moore, spending two years in the law firm’s London office where his practice focused on merger and acquisition and restructuring transactions, as well global offerings of debt and equity. Following law school, Mr. Sheridan served as a law clerk to the Honorable Edward R. Korman, Chief Judge of the U.S. District Court for the Eastern District of New York.
