Areas of Practice

Eric Reimer, a partner in Goodwin Procter’s Business Law Department and member of its Corporate Practice, specializes in finance and restructuring matters. He is resident in the firm’s New York and Los Angeles offices.

Work for Clients

Mr. Reimer’s practice includes representation of private equity firms, hedge funds, borrowers, issuers and lenders in mergers and acquisitions credit facilities, front-end lending transactions, bridge facilities, acquisition facilities, debt issuances and restructurings, including the financing of debtors in bankruptcy, ranging from investment grade syndicated financings to middle market assets based facilities, 144A offerings, private bank, high net worth individual financings, leveraged leases and project financings, with particular experience in M&A, private equity, health care, retail, equipment and transportation. He also represents opportunity and investment funds in the acquisition and restructuring of debt and credit facilities and the ongoing general representation of portfolio companies of such funds.

Professional Activities

Mr. Reimer was a member of the California State Bar Uniform Commercial Code drafting committee, on which he served as chairman of the Article 2A subcommittee and a member of the Revised Article 9 drafting subcommittee.

Publications/Presentations

Mr. Reimer has lectured and published extensively in the finance and restructuring areas. His publications include “Adventures in Acquisition Finance,” “The Impact of Private Equity and Hedge Funds on Insolvencies,” “Practical Issues in Default Remedies,” “Citicorp v. Brock – The Hot Goods Hazard,” “Regulatory Issues in Restructurings,” “FIRREA,” “What You Don’t Know Can Hurt You,” and “The Project Finance Tutorial and Restructuring Troubled Projects.”

He is a frequent lecturer on restructuring at the Institutional Investors Conference and is a contributor to the Secured Loan Checklist with his chapters “Financing the Acquisition of Assets” and “Leveraged Buyouts.”

Professional Experience

Prior to joining Goodwin Procter, Mr. Reimer was a partner at McDermott Will & Emery LLP, where he chaired that firm’s corporate finance practice group and was a senior member of its restructuring group and head of its project finance practice.

Mr. Reimer is admitted to practice in New York, California, and the District of Columbia.
