Areas of Practice

Yash Rana is a partner in the firm’s Private Equity Group. He has a broad-based transactional practice, with particular emphasis on mergers and acquisitions and private equity. Mr. Rana’s practice includes leveraged buyout transactions, early and late stage venture capital and growth equity investments, PIPEs, joint ventures and other general corporate and securities matters. He has extensive knowledge of the communications industry, including communications services, fiber builders and related construction services. Mr. Rana has also represented clients in such diverse industries as media, financial services, consumer goods, energy, cleantech and technology, including software, internet services, video and internet game development, online advertising, electronic trading platforms and hardware.

Mr. Rana leads Goodwin Procter’s India Practice and is active in the CleanTech Practice. He also serves on the Legal Hiring Committee and the Diversity Subcommittee.

Work for Clients

Mr. Rana has over 10 years of experience advising companies and sponsors in mergers and acquisitions and financing transactions. His private equity and venture capital work includes leveraged buyouts, recapitalizations, minority and growth equity investments. Mr. Rana represents clients in cross-border transactions, especially investments into India. Among other Goodwin Procter clients, he has represented AIG, Creditex Group, General Catalyst Partners, Goldman Sachs, Highland Capital Partners, JPMorgan, Lincolnshire Management, TA Associates and Viacom (and its MTV Networks division).

Mr. Rana also represents major investment banks in offerings and as financial advisors to companies engaged in mergers and acquisitions.

Publications/Presentations

Mr. Rana has participated in a number of seminars and has presented to private equity and venture capital executives on various current topics. He has been featured in several publications, including The Wall Street Journal and LBO Journal, and has authored articles on private equity in India. While attending Columbia Law School, Mr. Rana was an editor of the Columbia Business Law Review.

Professional Experience

Mr. Rana previously oversaw mergers and acquisitions and securities transactions for Qwest Communications International Inc. and was a transactional lawyer at O’Melveny & Myers LLP in New York.

While at Qwest, Mr. Rana was instrumental in executing several complex transactions, including Qwest’s acquisitions of US West and LCI Communications; the sale of Qwest’s directories business to The Carlyle Group and Welsh, Carson, Anderson & Stowe in one of the largest leveraged buyouts at the time; PIPE transactions involving BellSouth and Microsoft; Qwest’s $13 billion debt exchange offer; and the initial public offering of KPNQwest. In addition, he served on the Board of Directors of the Qwest Foundation, the charitable arm of the company. Mr. Rana’s prior experience also includes representation of the Anschutz group, TCW and GTE/Verizon.
