Sam Richardson is a partner in the firm’s Real Estate, REITs and Real Estate Capital Markets Group. He has represented real estate owners, operators and investors, including REITs, private and public institutional investors and pension funds and other tax-exempt investors in a variety of complex commercial real estate matters, with particular focus on CMBS and other financings, acquisitions, sales and joint ventures. Mr. Richardson has been actively involved in structuring real estate investments to comply with CMBS market requirements, including helping oversee the firm’s nonconsolidation opinion practice and is currently actively involved in restructuring debt and equity investments across the United States.
WORK FOR CLIENTS
Mr. Richardson’s recent experience includes the following representative transactions:
- Representation of Brookfield Financial Properties in connection with acquisitions and financings throughout the country, including representing Brookfield in obtaining $3.6 billion of CMBS and mezzanine debt in connection with its acquisition of Trizec Properties, Inc.; the $310 million refinancing of One World Financial Center in Downtown Manhattan; the $280 million refinancing of Exchange Place in Boston, Massachusetts; and the over $200 million acquisition of two office properties in Arlington, Virginia with an assumption of $95 million of CMBS debt.
- Representation of HEI Hotels and its affiliates in connection with financings across the United States, including properties located in Florida, California, Indianapolis, Texas, New York and Maryland with aggregate financing proceeds in excess of $600 million.
- Representation of Guggenheim Real Estate LLC and certain of its affiliates throughout the country in connection with over $2 billion worth of real estate acquisitions, joint ventures and financings for retail, industrial, multi-family and office properties.
- Representation of Morgan Stanley Real Estate Funds in its acquisition of a portfolio of luxury resort hotels, in the assumption of over $1 billion of existing mortgage and mezzanine debt and in obtaining over $1 billion of new mortgage and mezzanine debt and preferred equity.
