Yash Rana is a partner with Goodwin Procter LLP, and is chair of the firm’s Asia Practice and its Hong Kong office. He is a member of the firm’s Mergers & Acquisitions, Private Equity, Capital Markets, Technology, Life Sciences and Clean Tech & Energy Groups.
Mr. Rana is focused on advising corporate clients and private equity sponsors in connection with their investments and exits (including sales and public listings) in China, India and across Asia, as well as Asian clients in connection with their acquisitions in North America and Europe. He has advised clients on matters involving Afghanistan, Australia, China, Hong Kong, India, Japan, Korea, Malaysia, Mongolia, Papua New Guinea, Philippines, Singapore and Vietnam. Under his leadership, Goodwin Procter has been among the most active law firms for private equity transactions in China.
Mr. Rana’s practice includes representing clients in cross border mergers and acquisitions (including leveraged buyouts, carve-outs and management buyouts), early and late stage venture capital and growth equity investments, PIPEs, financings, joint ventures, restructurings and other corporate transactions. He has extensive knowledge of the technology-media-telecom sector and has represented clients in such diverse industries as business services, consumer, energy, financial services, healthcare and healthcare services, hotels, life sciences, manufacturing, media, medical devices, real estate, satellite communications and technology, including digital media, e-commerce, financial technology, hardware, healthcare technology, internet services, online advertising and online games. Mr. Rana has also represented major investment banks as underwriters in securities offerings and as financial advisors to companies engaged in mergers and acquisitions.

Mr. Rana has more than 15 years of experience advising companies, sponsors and promoters in mergers and acquisitions, securities and financing transactions. Among other clients, he has represented Advent International, the Anschutz Group, Baring Private Equity Asia, Bessemer Venture Partners, DST Global, Ford Motor Company, General Catalyst Partners, Goldman Sachs, Hearst, Highland Capital Partners, John Hancock, J.P.Morgan, Lehman Brothers, Lincolnshire Management, MphasiS, Sequoia Capital, TA Associates, TCW, UBS, Verizon and Viacom (and its MTV Networks division).

Mr. Rana has participated as a speaker in a number of major conferences and seminars and has presented to private equity and venture capital executives on various current topics. He has been featured in several publications, including The Wall Street Journal, The Deal, American Lawyer, the Asian Venture Capital Journal, Asian Legal Business and the India Business Law Journal.
PROFESSIONAL EXPERIENCE
Mr. Rana joined Goodwin Procter’s New York office in 2005, and relocated to Hong Kong in 2008 to start the firm’s first office outside the United States. Before joining the firm, Mr. Rana oversaw mergers and acquisitions and securities transactions for Qwest Communications International Inc. and was a transactional lawyer at O’Melveny & Myers LLP in New York.

Mr. Rana currently serves on the boards of several private equity backed companies in Hong Kong, India and Mauritius. Mr. Rana also serves on the Board of Governors of the American Club Hong Kong and as a mentor for the Young India Fellowship. He has previously served on the Board of Directors of the Qwest Foundation, the charitable arm of the company.
While attending Columbia Law School, Mr. Rana was an editor of the Columbia Business Law Review.
