Dean Pappas, a partner in Goodwin Procter’s Business Law Department and a member of the Real Estate Practice, has extensive experience with real estate and corporate transactions.

Work for Clients

Mr. Pappas’ practice involves structuring, negotiating, drafting and closing various real estate and corporate transactions, including joint venture formation (partnerships and limited liability companies), merger, acquisition and disposition transactions, construction, mortgage and mezzanine loan transactions, public contracting, leasing and other various transactions.

Professional Activities

Mr. Pappas is a member of the USC Law School Institute – LACBA Benjamin S. Crocker Symposium Planning Committee; the California Real Property Section; and the American College of Real Estate Lawyers (ACREL).

Publications/Presentations

Mr. Pappas is the author of “The Independent Sector and the Tax Laws: Defining Charity in an Ideal Democracy” in Southern California Law Review; “Constructing and Modernizing Our Public Schools” in California Real Property Journal; and “Issues in Joint Venture Capitalization: May I Have Some More, Please?” published in REsource: A Goodwin Procter Publication for the Real Estate Industry (Spring 2008).

Mr. Pappas has delivered numerous lectures and presentations, including: “Usury, Real Property Acquisitions and Sales” before the Los Angeles County Bar Association; “Forward Equity Commitment Transactions” before the State Bar Real Property Section; “Public Bidding and Procurement and Construction Law” before the California Association of School Business Officials (CASBO); “Real Estate Equity and Finance Markets” before the USC Law School Institute – LACBA Benjamin S. Crocker Symposium; “Commercial Leasing” before the UCLA School of Law; “Real Estate Finance” before The Anderson School at UCLA; and “Intercreditor Agreements and Deal Negotiations: The Legal Perspective” before the IMN Western Borrowers' & Investors’ Forum on Real Estate Mezzanine Loans.

Professional Experience

Prior to joining Goodwin Procter, Mr. Pappas was a partner in the Los Angeles office of Mayer, Brown, Rowe & Maw LLP, where he was the Office Practice Leader for the L.A. Real Estate Group. Before that, he practiced with O’Melveny & Myers LLP.

Mr. Pappas is admitted to practice in California.
