Jeff Klein, a partner in the firm’s Intellectual Property Transactions & Strategies Practice and Technology Companies Group, concentrates on technology and intellectual property transactions, providing intellectual property support to corporate transactions and counseling clients on the acquisition, protection, management and leveraging of technology and intellectual property.

Work for Clients

Mr. Klein represents a broad base of start-up, private and public company clients in technology and intellectual property-intensive industries such as digital media, mobile, Internet, software (including cloud computing), entertainment, advertising, clean technologies, hardware, consumer and industrial goods, education and financial services, as well as private equity and venture capital firm clients. He has extensive experience structuring and negotiating licenses, strategic collaborations, joint ventures and other technology transfer transactions involving all types of technology and intellectual property. Mr. Klein specializes in structuring the intellectual property aspects of mergers and acquisitions, spin-offs, investments, strategic alliances and other corporate transactions and discovering and managing intellectual property related risks by designing and implementing collaborative and pragmatic intellectual property due diligence services.

Mr. Klein’s representative transactions include:

  • Visible Measures, an independent third party measurement firm for Internet video publishers and advertisers, in the negotiation of an agreement with Viacom, Inc. to deploy Visible Measures’ Internet video metrics platform across all of MTV Networks’ destination Internet video sites and to build detailed end to end online video performance metrics.

  • Brightcove Inc., a leading global Internet TV platform, in connection with the formation of a majority-owned Japanese subsidiary, Brightcove KK with four strategic partners that represent the market leaders in Japan in digital media, advertising and content delivery: Denstu, Inc., J-Stream, Inc., transcosmos and CCI. Mr. Klein structured and negotiated various complex license and commercial agreements to enable Brightcove KK to operate a localized version of Brightcove’s on-demand Internet TV platform and to establish sales agents for Brightcove KK in Japan.
  • Going, Inc., an online social networking company promoting and advertising events in New York, Boston, Los Angeles, Chicago, Miami and other cities, in connection with an investment by Universal Music Investments, Inc.
  • VAS Entertainment, a market leader in the distribution of action sports media, in connection with a home video and online sports media partnership with Studio411, an affiliate of Wasserman Media Group.
  • JumpTap, Inc., a leading provider of mobile search and advertising solutions, in the structuring and negotiation of a Mobile Search Advertising Agreement with a major online portal.
  • Highland Capital Partners in connection with its $15 million investment in Metacafe, one of the world’s largest video sites.
  • Alta Communications, Inc. and General Catalyst Partners in connection with a $40.5 million Series A Preferred Stock financing of Highwinds Capital, Inc, a full service content delivery network provider.
  • Recorded Books, LLC, the world’s premier publisher of unabridged audiobooks, in connection with the development and launch of MyLibraryDV, an online video-on-demand service.
  • The Goldman Sachs Group, Inc. in a $50 million investment in Perimeter eSecurity, the leading provider of complete security on demand.
  • SkyCross, Inc., a leading developer of advanced wireless antenna solutions, in connection with a strategic investment from Intel Capital, the venture capital arm of Intel Corporation.
  • Massive Incorporated, Inc., a New York-based creator of a world-leading network for video game advertising, in connection with its acquisition by Microsoft Corporation.
