
Michael J. Kendall
Areas of Practice
Michael Kendall, a partner in the firm’s Business Law Department, focuses his corporate finance and securities practice on representing private equity and venture capital firms in connection with early and later stage investments, leveraged recapitalizations and buyouts, as well as counseling a variety of emerging companies. Mr. Kendall also has substantial experience representing issuers and underwriters in initial and follow-on public offerings, public and private mergers and acquisitions, and advising public companies on SEC reporting and other general corporate matters.
Work for Clients
Mr. Kendall has represented a number of leading private equity and venture capital firms, including Advent International, Alta Communications, BancBoston Ventures, Bay Partners, Parthenon Capital, TA Associates and TransOcean Capital. He has also advised NYSE and Nasdaq-listed public companies and a variety of private companies in industries including telecommunications, biotechnology, healthcare, hospitality and real estate.
Professional Activities
Mr. Kendall is a frequent lecturer on the topics of corporate finance and securities law, including speaking at events for Capitalyst, Corporate Board Member, Streaming Media and TiE-Boston, and is an annual participant in the Harvard Business School Entrepreneurship Conference. Mr. Kendall has also published articles including “The Benchmark Case and the Limits of Preferred Stock Protections” in the November 2002 Venture Capital Journal and “Three Sided Investments in the Age of the Internet” in Private Equity Analysts’ Year 2000 Guide to Corporate Investors.
Mr. Kendall is a member of the American Bar Association and a member of its Venture Capital and Private Equity Committee. He also participates in the ABA's Private Equity Transaction Document Task Force charged with drafting industry-standard documentation for private equity financing transactions, and is listed in Chambers USA: America's Leading Lawyers for Business and The Best Lawyers in America.
Mr. Kendall led Goodwin Procter’s Knowledge Management Initiative in designing and implementing a comprehensive technology and organizational system to leverage the firm’s intellectual capital for the higher quality and more efficient delivery of services to clients.
