James Kasinger is a partner in the firm’s Business Law Department. As a member of the Technology Companies Group, Mr. Kasinger’s practice is concentrated in the areas of corporate and securities law, private equity and mergers and acquisitions. He has experience in various areas of business practice including mergers and acquisitions, venture capital and private equity transactions (including private placements and buy-outs) and general representation of public and private companies. Mr. Kasinger joined Goodwin Procter in 2005.

Work for Clients

Mr. Kasinger represents private and public companies in a wide range of industries including life sciences, software, hardware, communications and information technology services. He has worked with companies from their formation and initial financing through successful public offerings or acquisitions. Mr. Kasinger also has significant experience in various business and corporate matters, including mergers, acquisitions, dispositions, public and private placements of debt and equity securities (including shelf offerings, PIPE transactions and 144A transactions), corporate governance matters, securities law compliance, technology licensing, preparing and negotiating commercial agreements and general corporate representation.

Mr. Kasinger also represents private equity and venture capital investors in various financing and buy-out transactions as well as their own organizational and regulatory matters. He has represented investment banks in connection with underwritten offerings and their activities as financial advisors to companies engaged in financing activities and in mergers and acquisitions.

In 2006, Mr. Kasinger was recognized as a Massachusetts Super Lawyer “Rising Star” by Law & Politics and Boston magazine.

Prior to joining Goodwin Procter, Mr. Kasinger was an associate in the Business Practice Group at Testa, Hurwitz & Thibeault in Boston.
