Samantha Kirby is a partner in the Financial Services Group. She advises financial institutions on a variety of corporate, securities, bank regulatory and transactional matters.
WORK FOR CLIENTS
Ms. Kirby serves as corporate and regulatory counsel to a number of the firm’s banking and financial services clients. She has experience in public and private offerings of debt and equity securities (both as issuer’s counsel and as underwriter’s counsel), financial institution mergers and acquisitions, de novo bank chartering, holding company formations, conversions of thrift institutions from mutual to stock form and operating subsidiary formation and activities. She also advises clients on a wide range of securities, corporate and corporate governance matters.
Ms. Kirby regularly represents clients before federal and state regulatory agencies, including the Board of Governors of the Federal Reserve System, the Office of the Comptroller of the Currency, the Federal Deposit Insurance Corporation and the Massachusetts Division of Banks.
PROFESSIONAL ACTIVITIES
Ms. Kirby is a member of the American Bar Association and the Boston Bar Association.
MEDIA
Ms. Kirby regularly speaks about corporate and financial services topics to legal and banking industry groups, including the Massachusetts Bankers Association and the American Bankers Association. Ms. Kirby also contributes to Goodwin Procter’s weekly financial services newsletter, the Financial Services Alert. Ms. Kirby is the author of "Do You Really Know Your Bank's Employees: Compliance Issues Under Section 19 of the FDIA," which appeared in the Banking Law Journal (September 2006).
PROFESSIONAL EXPERIENCE
Prior to joining Goodwin Procter, Ms. Kirby was an associate in the Washington, D.C., office of Thacher Proffitt & Wood LLP.
