Minta Kay is a partner in the firm’s nationally recognized Real Estate, REITs & Real Estate Capital Markets Group. She regularly represents institutional investors, tax-exempts, real estate funds and owner/operators in a variety of real estate transactions. She has extensive experience with the formation and restructuring of joint ventures; the origination, acquisition and restructuring of debt, including in complex capital stacks; portfolio roll-up and similar transactions; real estate development transactions; and property sales and acquisitions. Her experience spans all asset classes and is geographically broad in scope.
Ms. Kay has served as a member of Goodwin Procter’s Executive Committee and is currently a member of its Allocations Committee and Partnership Committee.
WORK FOR CLIENTS
Ms. Kay’s recent experience includes representing:
- An institutional investor and developer partner in connection with the acquisition, development and $700 million dollar financing of a 1.1 million-square-foot office building in New York City
- A real estate investment advisor and commingled investment fund in connection with a two-phase 47-story tower multifamily development project in New Jersey, involving a $140 million participated mortgage loan and two-tier joint venture structure for the first phase
- A real estate fund in connection with the contested restructuring of several tiers of mortgage and mezzanine debt and equity capitalization on a 20-property hotel portfolio
- A venture between an investment advisor and publicly traded REIT in connection with the acquisition and ultimate enforcement of junior tranche mezzanine debt, potential bankruptcy of the borrowers and successful conversion of the junior debt into, and recapitalization of, equity ownership in a portfolio of 28 U.S. hotels
- An owner/operator in connection with the recapitalization of a hotel, modification of existing senior and junior debt, modification of hotel management arrangements, modification of union contracts and admission of new equity.
- A real estate opportunity fund in connection with the establishment of a joint venture with a hotel developer and operator to redevelop and operate an historic hotel in Miami Beach, Florida
- An owner/operator in connection with a joint venture with a real estate fund to acquire and redevelop a portion of the Watergate project in Washington, D.C.
MEDIA
Ms. Kay is a regular industry speaker. She moderated the panel on “The Financial Crisis and its Implication on the Real Estate Debt Markets” at the Goodwin Procter/Columbia Business School RECM Conference in January, 2010. She has moderated and spoken annually on panels at the East and West Coast IMN Real Estate Opportunity & Private Fund Investing Forum, most recently moderating the panel on “Joint Ventures: New Wrinkles in the Operator/Finance Partner Model” in May, 2012. She ran a series of industry seminars on “Distressed Debt Opportunities” in 2009, and she spoke at the Eastdil Secured conference on “Loan Sale & Structured Finance Opportunities in January, 2010. Ms. Kay is a past vice-chair of the ABA Real Property and Probate Section Committee on Legal Decisions and has served as a speaker for Massachusetts Continuing Education and as a member of its Real Estate Curriculum Advisory Committee.
