Areas of Practice

Laura Hodges Taylor, a partner in the firm’s Business Law Department, focuses on corporate finance and securities law. Ms. Hodges Taylor represents a range of investment management firms, including private equity firms, hedge fund managers and investment advisors, often as outside general counsel. She also works with businesses in a variety of industries, including life sciences, technology, traditional industry and business services, and with investment banking firms in connection with financings and mergers and acquisitions. Ms. Hodges Taylor served as co-chair of Goodwin Procter's Corporate Department (1997-2000) and is a member of the firm's Executive Committee and Allocations Committee.

Work for Clients

Ms. Hodges Taylor’s work with investment firms includes structuring and forming funds and other pooled investment vehicles; effecting investment transactions including buyouts and minority investments as well as debt financings; advising on compliance and regulatory matters; and arrangements among firm principals and partners. Her company practice focuses on transactions such as public and private offerings of equity and debt and acquisitions, as well as general business and securities advice. In addition, Ms. Hodges Taylor’s corporate finance work includes a specialization in Canadian public offerings by US businesses of income trust interests and income securities.

Ms. Hodges Taylor has been selected for inclusion in Chambers USA: America's Leading Lawyers for Business, as well as in The Best Lawyers in America.

Publications/Presentations

Ms. Hodges Taylor is a frequent speaker on a wide array of topics, including private equity, hedge fund investment strategies, cross-border income securities offerings, high yield and mezzanine investing, and investing in real estate operating companies and REITs. She is the author of numerous articles and of the “Going Public” chapter of the Massachusetts Continuing Legal Education reference book, Massachusetts Business Lawyering.
