Jeff Hadden is a partner in the Technology Companies Group. Mr. Hadden practices primarily in the corporate, securities, venture capital and technology areas, with a focus on counseling growth-oriented, technology companies. He concentrates on general corporate representation, securities law compliance, mergers and acquisitions, venture capital and corporate finance. Mr. Hadden also works with leading private equity firms in connection with growth capital investments, leveraged recapitalizations and buyouts. With his corporate, securities and high technology law expertise, he has effectively counseled many technology companies in connection with significant corporate events, including venture financings, public equity financings, mergers and acquisitions and corporate governance.
WORK FOR CLIENTS
Mr. Hadden represents a number of public and private companies in a variety of industries. He has assisted many of the firm’s clients in structuring and consummating complex corporate transactions, including leveraged buyouts, going private transactions, public offerings, private placements, mergers, acquisitions, restructurings and reorganizations. Mr. Hadden represents several venture capital complexes and venture-backed companies and is well versed in issues specific to venture-backed technology companies. In addition, he works with leading private equity firms to develop internal policies, implement compliance procedures and assist with liquidity transactions.

Mr. Hadden is a member of the Boston, Massachusetts and American Bar Associations.
MEDIA
A frequent public speaker and panelist, Mr. Hadden has served as a panelist in continuing legal education programs focusing on corporate mergers and acquisitions. He is the co-author of “Cashing In Your Chips” (Mass High Tech, March 27, 2000), as well as the author of several technical works, including “Section 301 Preemption of State Law: Allis-Chalmers Corp. v. Lueck,” 27 B.C.L. REV. 101 and “Measure of Damages - Breach of Contract to Purchase Real Estate,” 1985 Annual Survey of Massachusetts L. 21.
