Jane Greyf is a partner in the firm’s Business Law Department and a member of the Private Equity Group. She focuses her practice on mergers and acquisitions, representing both acquiring and selling entities in various private and public leveraged buyouts, mergers and acquisitions, and control and minority investment transactions. Ms. Greyf joined Goodwin Procter in 2010.

WORK FOR CLIENTS

Ms. Greyf has significant experience representing leveraged buy-out sponsors, hedge funds, venture capital funds and other private equity investors in various acquisitions, dispositions, investments, joint ventures, buyouts, tender offers, co-investments and leveraged finance transactions. She also represents public and private companies in connection with various corporate and securities law issues, including corporate governance and takeover defenses, securities law compliance and general corporate matters.

In addition, Ms. Greyf has experience in acquisitions and financings focused in the energy industry, including tax credit based equity financings of renewable energy assets. Her practice includes significant financial advisory representations.

Ms. Greyf’s representative transactions include:

  • Representation of GS Capital Partners in the leveraged buyout of Endurance International Group led by Warburg Pincus.
  • Representation of Alden Global Capital in the acquisition of The Journal Register Company.
  • Representation of The Carlyle Group in the sale of Schoolnet Inc.
  • Representation of Ridge Capital Partners in the leveraged buyout of LAT Sportswear Inc.
  • Representation of MphasiS Ltd. in its acquisition of Wyde Corporation.
  • Representation of Ridge Capital Partners in the leveraged buyout of William Charles Waste Group Companies.

PROFESSIONAL EXPERIENCE

Prior to joining Goodwin Procter, Ms. Greyf served as the Assistant Office Managing Shareholder in the New York office of Butzel Long. Before that, she practiced with Nixon Peabody and Latham & Watkins.
