Ken Gordon, a partner in Goodwin Procter’s Corporate and Technology Companies Groups, has more than 20 years of experience representing privately held and publicly traded companies, investment banks, venture capital firms, and emerging and public growth companies. Mr. Gordon concentrates his practice in the areas of general corporate representation, corporate finance and acquisitions.
WORK FOR CLIENTS
Mr. Gordon’s corporate finance practice includes extensive experience with both private and public offerings. He has represented companies as well as venture capitalists and investment banks in over 300 completed financings. Recently completed venture financings on behalf of his corporate clients include investments in Apperian, Inc. by Bessemer Venture Partners, Kleiner Perkins and North Bridge Venture Partners; Adelphic by Matrix Partners; Astadia by Kodiak Venture Partners and North Atlantic; Bit9, Inc. by Atlas Ventures, Highland Capital, Kleiner Perkins, Paul Capital and .406 Ventures; Crystal IS by Arch Venture Partners, Asahi Kasei, Credit Suisse, Sanan and Lux Capital; Gemvara Inc. by Canaan Partners, Balderton Capital and Highland Capital Partners; Imprivata by General Catalyst Partners, Highland Capital Partners and Polaris Venture Partners; Marathon Technologies by Atlas Ventures, Longworth Venture Partners and Sierra Ventures; and session M by Highland Capital Partners and Kleiner Perkins; PlumChoice, Inc. by M/C Venture Partners and Zurich Insurance. Mr. Gordon has also represented many venture capitalists in making their investments, including most recently North Bridge Venture Partners, Highland Capital, Flybridge Capital Partners and GrandBanks Capital.
Mr. Gordon’s public offering practice includes the representation of issuers as well as investment banking firms in a wide variety of public and quasi-public offerings, including IPOs, convertible debt transactions and PIPEs transactions. Investment banks that he has represented include Cowen & Co., Inc., Credit Suisse, Deutsche Bank Securities, Merrill Lynch, Morgan Stanley, Stifel Nicolaus Weisel and William Blair. Companies that Mr. Gordon has represented in public offerings include DealerTrack Holdings, Lycos, Lionbridge Technologies, Salary.com, Sipex Corporation and Precise Software Solutions.
Mr. Gordon has extensive experience involving mergers and acquisitions, including representing DealerTrack Holdings (NASDAQ: TRAK) in multiple acquisitions, including its acquisitions of Automotive Lease Guide (ALG), Global Fax and DealerWire; Lionbridge Technologies (NASDAQ: LIOX) in its acquisition of Mubai, India-based Mentorix; NetCracker Technology Corporation in its sale to NEC Corporation; P&H Solutions in its sale to ACI Worldwide (NASDAQ: ACIW), formerly known as Transaction Systems Architects (NASDAQ:TSAI); RulesPower in its sale to Fair Isaac Corporation (NYSE: FIC); MarketSoft Software Corporation its sale to Unica Corporation (NASDAQ: UNCA); Synchronicity Software in its sale to MatrixOne (NASDAQ: MONE); eCopy in its sale to Nuance Communications (NASDAQ: NUAN); Quattro Wireless in its sale to Apple Computer (NASDAQ: AAPL); xkoto in its sale to Teradata (NYSE: TDC); Vistaprint (NASDAQ: VPRT) in its acquisition of Webs, Inc.; and Innov-X in its sale to Olympus. He has also completed numerous other acquisitions for clients, including Lycos, Sipex and Trellix Corporation.

Mr. Gordon is a frequent public speaker and guest lecturer on matters relating to venture capital transactions, mergers and acquisitions and other topics relevant to both domestic and foreign private and public technology companies.
PROFESSIONAL EXPERIENCE
Prior to joining Goodwin Procter in 2005, Mr. Gordon was a partner at Testa, Hurwitz & Thibeault in Boston, where he was a member of the Business Practice Group and the Canadian initiative. Before that, he was an accountant for KPMG in Hartford and Boston.
