Ed Glazer is a partner in the firm’s Business Law Department and a member of its REITs, Real Estate Investment Management and Tax Practices. He focuses principally on structuring and implementing tax-oriented commercial transactions of all types, including real estate and venture capital transactions, mergers and acquisitions, pension investments in real estate involving issues of unrelated business taxable income, leveraged financings, and workout and debt restructurings. Mr. Glazer regularly advises clients in structuring collective investment vehicles, in structuring real estate securitizations, in forming and operating public and private REITs and in forming real estate funds.

WORK FOR CLIENTS

Mr. Glazer has represented clients in the real estate securities and capital markets and real estate investment management areas, including Boston Properties, Morgan Stanley Real Estate, Lubert Adler Management, Inc. and Kimco Realty Corporation. Recent representative transactions include the acquisition by Morgan Stanley Real Estate of Glenborough Realty Trust, CNL Hotels & Resorts and Crescent Real Estate; the acquisition by Boston Properties of the Embarcadero Center, Citigroup Center and the General Motors Building; the disposition of the Glendale Galleria to General Growth in exchange for convertible preferred operating partnership units; and the restructuring of Catellus Development Corporation to allow it to be taxed as a REIT.
