Areas of Practice

Kathy Fields, co-chair of Goodwin Procter’s Silicon Valley office and a partner in the firm’s Corporate, Private Equity and Technology Companies Groups, concentrates on acquisitions and corporate and securities law. She joined Goodwin Procter in 2005.

Work for Clients

Ms. Fields has represented numerous public and private companies and private equity firms in mergers and acquisitions, including buyouts, recapitalizations, acquisitions in advance of Chapter 11 filings, cross border transactions, tender offers and going private transactions. In addition, her experience includes representation of private equity firms and their portfolio companies in corporate finance transactions, including strategic investments and private placements. She represents domestic and foreign issuers and underwriters in initial public offerings, registered secondary securities offerings and PIPEs transactions.

Ms. Fields has been selected for inclusion in Chambers USA: America’s Leading Lawyers for Business and The Best Lawyers in America.

Publications/Presentations

Ms. Fields chaired “Going Private - Understanding How Public Companies May Begin Life Anew as Private Companies,” sponsored by Massachusetts Continuing Legal Education in Boston in June 2003.

Prior to joining Goodwin Procter, Ms. Fields was a partner in the Business Practice Group at Testa, Hurwitz & Thibeault in Boston, where she also served as co-chair of the Mergers and Acquisitions Group.
