Areas of Practice

Kevin Dennis, co-chair of Goodwin Procter’s Silicon Valley office and a partner in the firm’s Business Law Department, is a member of the firm’s Private Equity Group. The group is composed of over 25 partners and the firm has more than 200 attorneys who focus on serving leading private equity, venture capital firms and emerging growth companies across the country. Mr. Dennis concentrates on private offerings, mergers and acquisitions, general corporate representation, securities law compliance, venture capital and corporate finance. He works with corporations and limited partnerships in various businesses, including health care, biotechnology, manufacturing, retailing, real estate and financial services.

Mr. Dennis joined Goodwin Procter in 1983 and has been a partner since 1990. He has served on the Hiring Committee and the Executive Committee of the Corporate Department, as well as the partner in charge of professional development and training for the firm.

Work for Clients

Mr. Dennis’ private equity work includes leveraged recapitalizations, buyouts and minority investments, both in later stage situations and earlier stage ventures, for leading private equity firms such as TA Associates, Behrman Capital and Charlesbank Capital Partners. Mr. Dennis also specializes in the representation of emerging growth companies in sectors such as technology and information services, health care, financial services and consumer products. His work with these companies focuses on strategic counsel, mergers and acquisitions including roll-up programs, equity and executive compensation programs for senior executives, and going-private transactions.

Professional Activities

Mr. Dennis is a member of the Boston, Massachusetts and American Bar Associations, and was formerly a member of the Boston College Law Review.

Mr. Dennis is currently admitted to practice in Massachusetts. His admission to the California bar is pending.
